Corporate Resolutions are (often written) declarations made by the board of directors or other managing body of a corporate entity, authorizing and effecting certain actions taken or to be taken by the entity. Examples of corporate resolutions are those authorizing the formation of a given corporation, setting the officers authorized to execute documents binding the corporation and entering into financing transactions. All of a corporation's corporate resolutions are generally maintained in the entity's books and meeting minutes.
