ABL Loan Documentation

ABL Loan Documentation is a comprehensive study of the asset-based loan documentation process, from the initial proposal to loan documentation, and all points in between. This curriculum spends a significant amount of time discussing the due diligence process and dissects, in detail, the typical sections of a loan and security agreement.  Participants will study:

    • Structure and purpose of terms sheets and commitment letters,
    • How the due diligence process works,
    • Typical documentation required to complete the due diligence process,
    • The structure and purpose of a Loan and Security Agreement (LSA),
    • Typical negotiating topics related to an LSA, and
    • Proper perfection of security interests.

Instructors concentrate on documentation used in the due diligence process as well as the legal documentation commonly associated with a variety of asset-based structures, including all ancillary documents related to the same.

ABL Loan Documentation is suitable for anyone responsible for directly or indirectly managing risk and interested in how relationships are properly memorialized and governed.
